Terms and Conditions

TTA means Think Tank Academy. TTA is in the business of supplying online and virtual classroom training services.

The Customer is the individual or company purchasing services from TTA.

Learner is the individual undertaking TTA’s training.

Confirmation is the date the contract between TTA and the Customer commences, and payment has been received or agreed by TTA.

Contract means the agreement between TTA and the Customer to provide training service according to these terms and conditions.

Delivery day means “Monday to Friday” with the exception of statutory holidays.

Intellectual Property Rights refers to the copyright (and similar rights) in and to the confidential company information and all training resources including course content and images, workbooks, infographics, photographs, designs, animations, logo(s), course narrative, trademarks and all other intellectual property rights.

Costs means price plus VAT (where applicable as indicated by TTA).

Insolvent refers to a company’s inability to meet its financial obligations, ceases to trade or threatens to cease trading, enters into administration or is liquidated.

Learning Management System (LMS) is the system used to access our training.

Services means the services provided by TTA to the Customer as set out in the agreement between TTA and the Customer.

Terms refer to our website terms of use, sales terms and our privacy policy.

We/Us means TTA.

Website is www.thinktank-academy.com where you can purchase TTA’s training courses.

 

Provisions

These terms and conditions will apply to every aspect of services which are supplied by TTA.

No other terms and conditions shall be accepted unless agreed in writing by a director of TTA.

TTA is the owner of all Intellectual Property Rights relating to our services. No resources belonging to TTA can be downloaded, copied, saved, duplicated, stored, archived, held, or used in any way, unless permission by TTA is given. Any use of TTA’s resources without prior written permission is an infringement of our Intellectual Property Rights and is a breach of TTA’s terms and conditions and can lead to legal action. Any use of TTA’s Intellectual Property Rights without prior written permission will be deemed a material breach of any agreement between the Customer and TTA and shall entitle TTA to immediately terminate any agreement with the Customer.

TTA may refer to other external websites and sources, TTA are not responsible for the content nor do TTA endorse any of their products.

This Agreement shall begin on the date hereof.

Costing

The price payable for our services is the list price of TTA at the date of confirmation unless otherwise agreed.

The price is exclusive of VAT where applicable and will be charged at the current rate.

TTA reserves the right to increase the price of services at our discretion. Where the customer has made payment prior to price increase, original price will be honoured.

Customers can purchase training at a set singular price or by purchasing from the Business Bundles for online and virtual classroom training.

Training Credits Scheme

TTA credits are redeemable for online and virtual classroom training courses. A customer can purchase as many credits in advance as they wish depending on their needs.

In all instances.

  • Credits can be used as soon as upfront payment is received or when a credit bundle is agreed by TTA with 30-day payment terms.
  • Credits can only be exchanged for training and are non-refundable.

Conditions of payment

TTA will charge interest at the rate of 8% per day for overdue payments.

TTA assumes that anyone accessing an account or making a payment on behalf of the customer has the authority to do so and as such is liable for any breach of these terms and conditions.

Notification of pricing errors will be made in writing, and you will be offered the option to cancel your order. If TTA has already processed your order and judged the pricing error to be easily recognised by you, we reserve the right to cancel the order and refund any payment you have made.

Course specific T&Cs

Delivery days of virtual classroom training are Monday to Friday only, with the exception of all statutory holidays.

TTA reserves the right to change course content without notice, to keep them up to date with current legislation and in line with best practice.

TTA will deliver training with reasonable skill and care. Any other conditions or warranties whether express or implied as to the quality of the services are hereby expressly excluded.

TTA support the rights of their trainers to refuse admission to or remove any person who they judge to be unsuitable candidates for training.

TTA reserves the right to cancel or rearrange training dates without liability. In this event TTA will notify the customer of cancellation or change. In the event of cancelation, the customer will receive a refund, however TTA will not be liable for expenses arising.

Interest can be charged at 8% above the base rate of the Bank of England on any late payments.

In addition to interest payable, we can also charge a late payment administration fee in respect of any invoice that is paid late, in accordance with the following schedule:

Should any of the following issues arise, please let us know immediately:

  • General fictional errors
  • Media malfunction in the course
  • Incorrect or missing information

Once an account has been created with TTA the customer is responsible for its own use including expenditure and allocation of credits. TTA are not responsible or liable for unauthorised access to, use or loss of credits and the customer is wholly and entirely responsible for management and protection of usage of their TTA account.

It is the customer’s discretion in how they allocate their credits and their responsibility to ensure users are of capability in navigating the relevant IT platform that the learning will be undertaken on (PC, laptop, tablet or phone). TTA are in no way responsible for user IT or English language proficiency arising from this point.

We aim to deliver the best experience and service possible on an ongoing basis. On occasion this may mean planned maintenance breaks for routine updates for which, where possible, we will try to give advance warning. If there are any downtime that is unscheduled or beyond our control, where we will take all reasonable steps to rectify, we are not liable for any unavailability caused by circumstances beyond our control.

Disclaimer

The Customer should understand that the advice and guidance presented in our courses is designed to promote good practice, but it is the responsibility of the delegate to decide how to apply this. TTA is not responsible for any detriment of such decisions. It is important that the delegate follows their organisation policies and procedures.

The achievement of a certificate is verification that the learner has met the needs of the course and not a guarantee of the learner’s continuous understanding.

The customer accepts that whilst there is an active account (with or without unused credits), TTA may send unsolicited emails so long as they pertain to relevant activities as determined by TTA.

 

Credit Assessment           

TTA reserve the right to make a financial assessment where applicable.

 

Liability

TTA will only accept liability for loss or damage up to the price payable for the booked services it provides,

 

Force Majeure

If events occur that are beyond our control, deemed as an act of God, and result in a total or partial failure of our duties and obligations, TTA reserve the right to cancel, suspend or vary our services. Where possible written notification will be given.

 

Data Protection

Personal data is held in accordance with the Data Protection legislation currently in force in the UK being the Data Protection Act 2018. TTA collects personal data as part of our booking process and will not pass your information to third parties outside of accreditation bodies. Our terms and conditions should be read in conjunction with our Privacy Policy.

 

General

You may not transfer your rights to another person.

No third party will have the right to enforce or rely on any provision of these terms and conditions.

If any court or authority finds the provisions of the terms invalid, illegal, or unenforceable or in need of deletion the terms will not be affected.

The terms are interpreted according to English law.

No variation to these terms and conditions will be effective unless made in writing and authorised by a director of TTA.

TTA will correct any errors or omissions in any sales literature, administrative documentation, course materials, invoice or other document or information and will not be subject to liability.

TTA may at times assign a sub-contractor to deliver the Services.

These terms and conditions apply to TTA and the Customer and do not include any third parties.

The Customer is not permitted to petition for employment any of TTA’s employees during the agreement nor in the 12 months following the end of that agreement.

In accordance with the Anti Bribery Act 2010 neither TTA nor the Customer will accept or condone payment of bribes.

In accordance with the Modern Slavery Act 2015, TTA is committed to a zero-tolerance approach to slavery.

If for any reason part of the terms and conditions are invalid or unenforceable the remaining terms and conditions will not be affected.

Both TTA and the Customer has the right to terminate these sales terms if the other party commits a material breach.

TTA will terminate the agreement, these terms and condition and/or the Services immediately without liability if the Customer becomes Insolvent.
